1. ELIGIBILITY: #PowerofX Contest (the “Contest”) is open only to legal residents of the United States (excluding Colorado, Maryland, Puerto Rico and other U.S. territories and possessions) who are 18 years of age or older at the time of submitting an Entry (hereinafter defined).  Employees of Positec {“Sponsor”), its parent, affiliates, subsidiaries, and advertising and promotion agencies, and members of their immediate family (spouses and parents, siblings, children and their spouses and in-laws) and persons living in the same household of such individuals, whether related or not, are ineligible to enter or win.  The Contest is subject to all applicable federal, state, and local laws and regulations and is void in Colorado, Maryland, Puerto Rico and other U.S. territories and possessions and where prohibited or restricted by law. Participation constitutes entrant’s unconditional agreement to these “Official Rules” and to the decisions of Sponsor and judges, which are final and binding in all matters related to the Contest.
2. CONTEST PERIOD: The Contest will begin on November 9, 2020 at 12:01 a.m. ET and will end on January 8, 2021 at 11:59 p.m. ET (the “Contest Period”).
3. CONTEST OVERVIEW: Sponsor is inviting crafters, makers and artists to use the new MakerX line of power tools to show them their best X-shaped project (“Project”) for the opportunity to win a prize. Projects can include jewelry, furniture, artwork – whatever X-potentially pushes their creativity to the next level.
4. HOW TO ENTER: During the Contest Period, to enter, (i) post a single photo on Instagram, Twitter or Pinterest of your Project with a brief description of the Project, (ii) tag @WorxTools, and (ii) include hashtags #PowerofX and #Contest ("Entry"). Entry should include no personally identifiable information other than that of the entrant and should not link to or tag any other individuals.  Entry photograph should not include identifiable images of people.  All entries must be received by January 8, 2021 at 11:59 p.m. ET to be eligible.

Standard data charges may apply if participating via your mobile device. Entries must comply with any applicable submission requirements including, but not limited to, all legal requirements set forth in these Official Rules.

BY SUBMITTING AN ENTRY, THE ENTRANT ACKNOWLEDGES THAT HIS/HER ENTRY MAY BE POSTED ACROSS ANY OR ALL OF THE SPONSOR’S DIGITAL AND SOCIAL ASSETS, AT THE SPONSOR’S DISCRETION. Submission of an Entry grants the Sponsor and its licensees, successors and assigns the right to publish, use, adapt, edit, publicly perform and/or modify such Entry in any way, in any and all media, including for use in advertising and marketing, without limitation, and without consideration to the entrant, as more fully set forth in Section 8 below.

Entries generated by script, macro or other automated means or by any means which subvert the entry process are void. There is no limit on how many Entries you can submit; however, each Entry must be substantially different than any other Entry submitted by you, as determined by Sponsor in its sole discretion. All Entries become the property of Sponsor.  If a participant submits multiple entries of the same project, only the first entry will be judged. All others will be voided.

If you do not have an Instagram, Pinterest or Twitter account, establishing an account is free. All Instagram, Pinterest and/or Twitter terms apply, as applicable. Your Instagram, Pinterest or Twitter account must be set to "public" in order for your Entry to be eligible. You can return the applicable account to "private" any time after the winners have been announced. 

REQUIREMENTS OF ENTRIES: Entry must be the original work of the entrant, may not have been previously published, may not have won previous awards.  Entry may not contain, as determined by the Sponsor, in its sole discretion, any content that:

• is sexually explicit or suggestive; unnecessarily violent or derogatory of any ethnic, racial, gender, religious, professional or age group; profane or pornographic; contains nudity;
• promotes alcohol, illegal drugs, tobacco, firearms/weapons (or the use of any of the foregoing); promotes any activities that may appear unsafe or dangerous; promotes any particular political agenda or message;
• is obscene or offensive; endorses any form of hate or hate group; appears to duplicate any other submitted Entries;
• defames, misrepresents or contains disparaging remarks about other people or companies;
• contains any personal identification, such as license plate numbers, personal names, e-mail addresses or street addresses;
• contains copyrighted materials owned by others (including photographs, sculptures, paintings, and other works of art or images published on or in websites, television, movies or other media), without permission;
• contains materials embodying the names, likenesses, voices, or other indicia identifying any person, including, without limitation, celebrities and/or other public or private figures, living or dead, without permission;
• contains look-alikes of celebrities or other public or private figures, living or dead;
• communicates messages or images inconsistent with the positive images and/or good will to which we wish to associate; and/or
• violates any law.

By submitting your Entry, you agree that your Entry conforms to these Official Rules and that Sponsor, in its sole discretion, may disqualify your Entry for any reason, including if it determines, in its sole discretion, that your Entry fails to conform to these Official Rules in any way or otherwise contains unacceptable content as determined by Sponsor, in its sole discretion.

5. WINNER DETERMINATION: Following the conclusion of Contest Period, all eligible Entries received will be judged by a panel of qualified judges based on the following equally weighted criteria: creativity, best use of the Power of X theme and craftsmanship (“Criteria”), to determine the potential winners. In the event of a tie, a tie-breaker judge will judge the tied Entries using the Criteria to determine the winner(s). Sponsor reserves the right to not award all prizes if, in its sole discretion, it does not receive a sufficient number of eligible and qualified entries. All decisions of the Sponsor and judges are final and binding. Sponsor will not reveal the judging scores for any entry.  
6. PRIZES: Grand Prize (1): $5,000 check. First Prize (1): $2,500 check. Second Prize (1): $1,000 check. Fourth Prize (Honorable Mention) (3): $500 check. The total ARV of all the Prizes is $10,000. There is no substitution or transfer of prizes, except that the Sponsor may, in Sponsor’s sole discretion, substitute any portion or all of a prize, with a prize of comparable value. All federal, state and local taxes associated with prize acceptance and use are the sole responsibility of the winners.  An IRS form 1099 will be issued in each winner’s name if required by law. Limit one (1) prize per person.
7. WINNER NOTIFICATION: Each potential winner will be notified via direct message and/or @reply. If a potential winner does not respond to the notification within 72 hours of the initial attempt, he or she may be disqualified and a runner-up will be notified.  Each potential winner is subject to verification and will be required to provide to Sponsor a valid mailing address within the time stated in the initial notification and may be required to provide Sponsor with proof (in a form acceptable to Sponsor) that a MakerX tool was used to create the winning Project.  A potential winner may, in Sponsor’s discretion, also be required to complete and return to Sponsor an Affidavit of Eligibility/Release of Liability, and, if legally permissible, a Publicity Release, and a W-9 form, within three (3) daysf attempted delivery of same.  If a potential winner fails to respond to any notification attempt within the time period specified by Sponsor, or if any attempted notification or prize delivery is returned as undeliverable, or if a potential winner fails to complete and return any required affidavit or release within the specified time period or provide Sponsor with proof (in a form acceptable to Sponsor) that a MakerX tool was used to create the winning Project, the potential winner will be disqualified and a runner-up will be notified for the prize at issue.
8. GRANT OF RIGHTS/PUBLICITY: By submitting an Entry, each entrant waives all moral rights in and to the entry and grants to Sponsor and its licensees, successors and assigns an irrevocable, perpetual, unlimited, royalty-free, fully paid-up license to reproduce, distribute, display, exhibit, exploit, perform, edit, create derivatives of, and otherwise use the Entry and all elements of such entry, together with any other material, and the name, user name, city and state of residence, voice, image and/or likeness of entrant (including, but not limited to, profile photo), in any and all media now known or hereafter devised, in any manner, in whole or in part, worldwide, without compensation or notification to, or permission from, entrant or any third party, for any purpose whatsoever, including without limitation, for purposes of advertising or trade. Entrant agrees that, if required by Sponsor, he/she will sign documents to this effect. Released Parties are not responsible for any unauthorized use of Entries by third parties. Sponsor has no obligation to make use of the rights granted herein.
9. RELEASE AND LIMITATIONS OF LIABILITY: Sponsor, Facebook, Inc., Twitter, Inc., Pinterest, Inc., and their respective parent companies, affiliates, subsidiaries, agents and licensees, and each of their respective owners, officers, directors and employees,  (collectively, the “Released Parties”) are not responsible, and will have no liability for, (a) late, lost, delayed, illegible, misdirected, damaged, corrupted or incomplete Entries, posts, direct messages, @replies, email or other communications of any kind, or for lost, interrupted or unavailable network, server, Internet Service Provider (ISP), website, or other connections, availability or accessibility or miscommunications or failed computer, satellite, telephone or cable transmissions, lines, or technical failure or jumbled, scrambled, delayed, or misdirected transmissions or computer hardware or software malfunctions, failures or difficulties, or other errors or difficulties of any kind whether human, mechanical, electronic, computer, network, typographical, printing or otherwise relating to or in connection with the Contest, including, without limitation, errors or difficulties which may occur in connection with the administration of the Contest, the processing or judging of Entries, the announcement of the prizes or in any Contest-related materials.  Released Parties are also not responsible for any incorrect or inaccurate information, whether caused by site users, tampering, hacking, or by any equipment or programming associated with or utilized in the Contest.  By entering, each entrant fully releases and agrees to hold each of the Released Parties harmless from and against any and all claims, liability, damages, and demands arising out of or relating to participation in the Contest (including any injury or harm resulting from use of any MakerX tool), the Contest process, and/or the acceptance, receipt, use, or misuse of any prize, including without limitation all claims, liabilities, damages, and demands based on any personal injury, property damages or loss or death. 
10. GENERAL CONDITIONS: Sponsor reserves the right, in its sole discretion, to cancel, modify or suspend this Contest should a virus, bugs, entrant fraud or misconduct or other cause affects or corrupts the administration, integrity, security or proper operation of the Contest or to the extent Sponsor deems necessary in order to comply with the terms of use or terms of service of any applicable social media platform or in connection with changes to such terms.  In the event of termination of the Contest, a notice will be posted online and a judging will take place to award the prizes from among all non-suspect, eligible Entries received prior to the time of termination using the winner determination procedure set forth above or as otherwise deemed fair and appropriate by Sponsor.

CAUTION: ANY ATTEMPT TO DELIBERATELY DAMAGE ANY WEBSITE ASSOCIATED WITH THIS CONTEST OR UNDERMINE THE CONTENT OR LEGITIMATE OPERATION OF THIS CONTEST IS A VIOLATION OF CRIMINAL AND CIVIL LAW. SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES (INCLUDING ATTORNEYS’ FEES) AND OTHER REMEDIES FROM ANY PERSON OR PERSONS RESPONSIBLE FOR THE ATTEMPT TO THE FULLEST EXTENT PERMITTED BY LAW.  Sponsor reserves the right, in its sole discretion, to disqualify or prohibit from participating in the Contest any individual who, in Sponsor’s sole discretion, Sponsor determines or believes (i) has tampered with the Entry process, or has undermined the legitimate operation of the Contest by cheating, hacking, deception or other unfair playing practices, or (ii) has engaged in conduct that annoys, abuses, threatens or harasses any other entrants or any representative of Sponsor, or (iii) has attempted or intends to attempt any of the foregoing. 

11. USE OF INFORMATION: All information regarding entrants collected by Sponsor and/or its agents and contractors will be subject to Sponsor’s privacy policy located at https://www.worx.com/privacy-policy (the “Privacy Policy”). By entering the Contest, each entrant agrees that information submitted in connection with the Contest may be used as permitted pursuant to the Privacy Policy, and otherwise in connection with the administration of the Contest.
12. WINNERS’ NAMES: For the names of the winners (available after January 20, 2021), send a self-addressed, stamped envelope to: LGA, 4201 Congress Street, Suite 400, Charlotte, NC 28209, for receipt by February 15, 2021.
